交易双方在以下条款成立的前提下自愿成交

 (Both sides agree to the deal with the following terms) ：

1、油料品名、数量及价格（Name, Quantity and Price）

 合同总金额 (Contract Volume)：USD               

供油的最终数量与最后总金额，以供油收据及供油发票为准。

（Final refuel quantity and final payment shall be verified by BUNKER DELIVERY RECEIPT and INVOICE)

2、根据客户方要求，供油方供油船舶将按照以下信息给接油船只供油

(According  to the Customer’s requests, Supplier’s bunker will supply oil as below information)：

上述时间和位置是预计项，实际的供油时间和作业位置由双方最后共同协商确定。

The above delivery position and time is estimated. The final time and position shall be narrowed subject to mutual agreement.

3、燃油质量标准（Product Quality Standard）

    供油方提供之燃油应符合ISO 8217-2010 MARINE DISTILLATE FUELS的国际标准；具体参数，参考供油方采购燃油时获得的相应燃油质量报告(Certificate of Quality）。如果燃油被用于任何超出合同约定的特定目的或用途，供油方不保证燃油符合此种特定目的或用途。

Supplier refuel product quality shall follow the standard of DMA/IFO spec of ISO 8217-2010 MARINE DISTILLATE FUELS. Detailed firgures about relevant cargo shall base on the Certificate of Quality obtained in purchase. If the fuel oil is used for any specific purpose or use beyond the contractual agreement, the supplier does not guarantee that the fuel oil is suitable for such specific purpose or use. 

4、供油数量依据供油方供油船舶流量表的读数得出。燃油质量参数及数量均在加油收据（BUNKER DELIVERY RECEIPT）上注明。双方同意油料质量和数量以加油收据的记载为准。

the quantity shall be read from the flow meter of Supplier’s supplying vessel. The parties agree that the fuel quantity and quality as stated in Bunker Delivery Receipt is final of the quality or quantity of the fuel delivered.

5、付款条件(Payment terms)：

在发票记载的日期后45天内完成付款；

(a)  迟延履行责任：客户方若在上述燃油费的支付期限内未支付或未全部支付燃油费，则供油方有权收取，且客户方应当支付滞纳金，前述滞纳金自应付之日起，每日按照未付燃油费总额的0.04%计算、支付。

If the payment has not been done in full as prescribed in this contract, Supplier shall have the right to receive and Customer shall pay the late fee, and such late fee shall be accrued and paid as 0.04% of the outstanding sum per day from the due date.

(b)  权利救济方式：若客户方未能按时支付上述燃油费，供油方有权留置客户方的货物以抵偿燃油费，并有进一步追索的权利。供油方保留燃油所有权，直至客户方支付全部燃油费。由于客户方或其代理人、受雇人、分包人的过错，或其代理人、受雇人、分包人因遵循客户方指示，由此产生的费用及损失应由客户方承担。

If the customer fails to pay the above fuel cost on time, the fuel supplier has the right to lien the customer's goods to compensate for the fuel cost, and has the right to further recourse. The supplier retains the ownership of the fuel until the customer pays the full fuel fee. Due to the fault of the client or its agent, employee or subcontractor, or its agent, employee or subcontractor following the instructions of the client, the costs and losses arising therefrom shall be borne by the client.

 6、索赔(Claims)

客户方关于燃油质量、数量或者描述的任何索赔，应在加油完成后14日内以书面形式提出，否则视为放弃索赔权利.

Any claim by the customer regarding the quality, quantity or description of the fuel shall be made in writing within 14 days after the completion of refueling, otherwise it shall be deemed as a waiver of the right to claim.

7、不可抗力(Force Majeure)：

双方应严格执行此合同内容，并为己方的过失负责。如因自然灾害、战乱、港口工人罢工等不可抗力延误合同执行进程，应在不可抗力发生后的48小时内向对方通报发生不可抗力的情况，双方均有义务采取措施以尽量降低不可抗力造成的影响。不可抗力应由双方共同协商解决。如延误时间超过7天，则双方均可自行解除合同，此种解除不会引起任何责任、补偿或赔偿。

Both parties should strictly implement the content of this contract and be responsible for their own faults. If the execution of the contract is delayed due to force majeure such as natural disasters, wars, strikes by port workers, etc., the other party shall be notified of the occurrence of force majeure within 48 hours after the occurrence of the force majeure. Both parties are obliged to take measures to minimize the impact of force majeure. Force majeure should be resolved through mutual consultation between the two parties. If the delay exceeds 7 days, both parties may terminate the contract at their own discretion, and such termination will not give rise to any liability, compensation or compensation.

8、法律适用、争议与仲裁(Arbitration)：

本合同适用中华人民共和国法律。凡因本合同引起的或与本合同有关的任何争议，买卖双方应以友好协商的态度共同寻求解决办法。协商不成，均应提交客户方所在地有管辖权的法院管辖。

This contract shall be governed and construed in accordance with Chinese law. Any dispute arising from or in connection with this Contract shall be negotiated amicably between the parties. If the negotiation fails, it shall be submitted to the court with jurisdiction where the client is located.

9、合同的签订与效力（Validity）

本合同由双方在传真或扫描文件中先后分别盖章的，视为共同签署，双方均签署后合同生效。盖章扫描件与合同原件具有相同的效力。本合同一式两份，双方各执一份。

If the contract is signed by both parties in fax or scanning, it shall be deemed to be signed jointly, and the contract shall come into force after signing by both parties. The signed scan has the same validity as the original contract. This contract is in duplicate and each party holds one copy.
